My wife doesn't like to ride on the bike w/o a backrest of some sort so this was an affordable solution with a luggage rack as a bonus! Other reviews mentioned installation challenges and it is true there were no instructions, so I'll share with you my steps.

Using this diagram as a base (http://www.hondapartshouse.com/oemparts/a/hon/5054012df870021c54beb40b/rear-fender) the backrest mounts on bolt number 17.

Off the bike:
1. I attached the backrest (zipper at the bottom) to the vertical bracket while it was still individual pieces which made it easy to set the back-pad face down (soft side) on a table, then align the vertical bracket where I wanted it, then insert the two wood screws provided. (note, no pilot or alignment holes/markings exist so align at your discretion)

On the bike:
2. Remove the front flange bolts (#17) from both sides (I used a 12 mm socket)
3. Loosen the rear flange bolts (#17) on both sides, but leave them in for now
4. Attach the side flange brackets from the kit to the front flange bolts (#17), thread in the bolts but do not tighten at this time
5. While the side flanges are mounted only to the front bolts, I began the loose assembly of the other kit components

- note: while the photo shows the kits flange bracket on the outside, this was incorrect and did not allow the flange bracket to be pulled up tight to the grab rail (#6 or #8) - from the inside->out the order is mounting flange, then vertical backrest bar, then luggage rack on the outside

7. Using the included hardware, from the outside, push the bolt through the top hole on the luggage rack, into the top hole on the vertical backrest bar and through the top hole of the mounting flange you have already attached to the bike. Add the washer and nut, but do not tighten fully.
8. From the inside, insert the second (lower) bolt through the mounting flange, into the vertical backrest bar and through the luggage rack. Attach with washer and nut.

- note: You may be asking why would you want the nut on the outside on that bottom bolt? Normally I would concur with this thinking, however if you insert the bottom bolt from the outside, the bolt will most likely be damaging your fender. If you don't like the exposed threads on the outside, you should be able to find some acorn nuts at the hardware or auto parts store to cap them.

9. Tighten the backrest, luggage rack assembly. (I used a 10 mm socket and a 4 mm hex-wrench)

10. Remove the rear flange bolts (with the front bolts in, movement of the grab rails should be minimal)

- note: there are little cargo collars (#7) and rubber spacers (#13) which are loose once you pull the bolts out, so be careful not to allow them to drop or shift too far out of place. If they do shift, you may have to use a screwdriver to realign in order to get the bolts back in.

11. Swing/pivot the backrest assembly down past the rear of the seat to align with the flange bolt holes (I had to compress the back of the rear seat a little to swing the assembly down, but not in any fear of damaging anything)
12. Insert the rear flange bolts through the flange brackets (from kit), thread them in but do not tighten yet
13. Ensure all the flange mount bolts are aligned (started threading in) and you are satisfied with the backrest/luggage rack assembly
14. Tighten the flange bolts and you should be ready to ride
